1 - Introduction
This Code of Ethics and Conduct (the "Code") is a map of values, a set of guidelines, and a tool to provide all Suppliers, Partners, and Service Providers of Tietê (the "Partner(s)") with guiding principles for their relationships with the company and its employees. Through this Code, Tietê Agroindustrial affirms its Mission, Vision, and Values through actions, behaviors, operating rules, organizational practices, productivity, and the well-being of its stakeholders, that is, in its Organizational Culture. This Code helps Tietê Agroindustrial strengthen its Corporate Governance, consolidating ethical principles as a management tool.
2 - Objective
This Code should serve as a guide for decision-making, aiming to direct the actions of Tietê's Partners regarding their conduct and behavior in their relationships with the company, aligning them with what is expected by the company in terms of moral and ethical aspects.
3 - Rules and Procedures
Each Partner is responsible for ensuring that the rules and procedures of this Code are followed.
4 - Tietê Ombudsman Channel
The reporting channel is available to employees and Partners for reporting any illegal activities or actions deemed unacceptable in this Code, as well as those that are in conflict with the company's values or that could jeopardize the integrity of Tietê Agroindustrial:

As a member of the FKS Group, Tietê, alongside its Mission, Vision, and Values, also embraces the FKS Way, which is reflected in the following principles:

CARE: The ability to show openness, attentiveness, and empathy based on kindness, the principle of mutual respect, and appreciation among all stakeholders.
COMMITMENT: The ability to seek the best in fulfilling responsibilities with enthusiasm and a resolute attitude.
9 - What Tietê Expects from Its Partners
As a general rule, Tietê expects its Partners to adhere to, at a minimum, the following:
Negotiations: Partners are prohibited from initiating or maintaining any type of commercial conversation or negotiation with Tietê’s operational areas. All commercial conversations and/or negotiations must be conducted exclusively by the Procurement Department.
Political Contributions: Partners commit to not making or facilitating political contributions on behalf of or for the benefit of Tietê.
Social Media: Partners agree not to mention, use, or reference Tietê’s brand, logo, or any intellectual property without prior written authorization from Tietê, including strategies, mentions of suppliers, products, services, or clients, when accessing or posting content on social media.
Compliance with the Law: Partners must fully comply with all laws and regulations of the locations where they operate or perform their activities.
Environment: Partners must meet legal requirements, obtain the necessary licenses for their business, and control the environmental impacts generated by their activities. They must identify and manage chemicals and other materials that pose risks to human health and safety or the environment, ensuring their proper handling and disposal. Partners must provide Tietê, upon request, with documents proving the origin of the supplied products to ensure they do not contribute to the harmful transformation of natural habitats or violate applicable biodiversity preservation laws.
Labor and Employment Practices: Partners must comply with applicable labor and social security laws and regulations, including but not limited to those related to wages, working hours, benefits, occupational health and safety, and anti-discrimination. Tietê does not tolerate any form of abuse of power, harassment, assault, sexual or verbal abuse, or any behavior that may be considered offensive, humiliating, discriminatory, or threatening to the life and/or physical and moral integrity of any individual or entity.
Competition and Antitrust Laws: Partners must compete fairly in the market, without using illegal or improper incentives or advantages. They must not enter into agreements with competitors or potential competitors regarding prices, sales conditions, sales plans, bids, costs, profits, production volumes, or any other aspect of competition. Partners must uphold freedom of initiative, fair competition, the social function of property, consumer protection, and the suppression of economic power abuse.
Freedom of Union Association and Collective Agreements: Partners must respect workers' rights to choose, form, or join unions that are established legally and peacefully. Partners must comply with applicable Collective Agreements, including but not limited to provisions related to minimum wages, benefits, and occupational health and safety.
Child Labor / Forced Labor: Partners may not, under any circumstances, employ child labor in violation of applicable laws and/or use forced labor directly or indirectly.
Gifts/Bribes: Partners may offer gifts to Tietê employees, provided they do not exceed R$100.00 (one hundred reais). Under no circumstances may Partners offer monetary advantages or equivalents (e.g., vouchers) to Tietê employees.
Anti-Corruption: Partners must not tolerate, allow, or engage in bribery, corruption, or any illegal practices involving public officials or individuals related to public, mixed-economy, or private companies. Partners must comply with all national and international anti-corruption laws and will have their contracts immediately terminated, without any cost to Tietê, if any irregular practices are discovered, and will be liable for any losses and damages resulting from their misconduct and subject to applicable criminal sanctions.
Money Laundering: Partners must refrain from engaging in practices that could be interpreted as money laundering and cooperate with legal and regulatory authorities responsible for enforcing anti-money laundering laws.
Ethics in Negotiations: Partners must conduct their activities in adherence to the highest ethical standards, acting with clarity and transparency during negotiations. It is prohibited for Partners to offer any advantage to Tietê employees for closing any business, and it is also prohibited to accept any offers from Tietê employees that could be considered personal advantages.
Confidential and Insider Information: Partners may have access to insider information in the course of their duties, such as:
a) Tietê’s financial results;
b) Mergers, acquisitions, divestitures, or other corporate transactions;
c) Changes in company management;
d) Contracts or strategic plans;
e) Development of new strategies or improvement of existing strategies.
When a Partner or a related third party becomes aware of insider information, such as those listed above, they must observe the following guidelines:
1- Never disclose any insider information to third parties;
2- Never participate in transactions involving securities about which they have non-public and privileged information;
3- Never provide third parties with “tips” or information that could influence decisions related to Tietê.
Financial Integrity: Partners must maintain their financial and accounting books and records in accordance with applicable standards, regulations, and fiscal and accounting requirements.
Confidential Information: Partners must not disclose Tietê’s confidential information, which includes all information shared by Tietê with its Partners relating to prices, production methods, products, market strategies, and all information classified as confidential by Tietê, whether disclosed in writing or verbally.
Safety & Health: Partners must comply with legal requirements to ensure the safety and health of their employees, guiding them in the correct implementation of applicable legislation. Partners must follow all of Tietê’s health and safety guidelines for services performed at their facilities or on their behalf. Partners must ensure the use of PPE and safety equipment by their employees and contracted third parties and monitor their use whenever applicable.
Contractual Obligations: Partners must honor all contractual obligations and commitments, whether with Tietê or any other company or public entity.
Conflict of Interest: Partners must avoid any transactions, business, or situations that may create or constitute a conflict of interest with Tietê’s interests. This includes any situation where the personal interests of the Partner and their representatives and/or agents inappropriately influence their judgment regarding the business or conflict with their obligations to Tietê.
10 - Conduct in the Face of Doubts or Actions Contrary to the Principles and Standards of the Code
Immediately and formally report to your contact at Tietê or to the reporting channels whenever you feel or find yourself in a situation that contradicts or seems to contradict this Code of Ethics and Conduct. By doing so, you are protecting yourself, fulfilling your duty, and reinforcing the company’s ethical principles.

This policy aims to guide Partners in preventing misconduct, without intending to restrict their responsibilities within permissible limits. We rely on your commitment to ensure that this Code of Ethics and Conduct is fully complied with.
